Terms of Service

These Terms of Service (“Terms”) govern your access to and use of:

  • Our online store and websites, including any Shopify-hosted storefront (the “Store”)
  • The Autom8 web dashboard and related web applications (the “Dashboard”)
  • The Autom8 mobile applications (the “Apps”)
  • The Autom8 OBD devices and related hardware (the “Devices”)
  • Any other services, software, content, or features we provide (together with the above, the “Services”)

The Services are provided by Autom8 Technologies Inc. (“Autom8”, “we”, “us”, or “our”), a company based in Ontario, Canada.

By accessing or using any of the Services, including by creating an account or placing an order through the Store, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms are a legal agreement between you and Autom8. Please read them carefully.


1. Eligibility and accounts

1.1 Minimum age

You must be at least 18 years old (or the age of majority in your jurisdiction, if different) to create an account or use the Services.

1.2 Accounts and registration

To use certain parts of the Dashboard or Apps, you may need to create an account and provide accurate, current, and complete information. You are responsible for:

  • Keeping your login credentials confidential; and
  • All activity that occurs under your account.

You must notify us promptly at admin@autom8-obd.com if you believe your account has been accessed without your authorisation.

1.3 Business and dealer accounts

If you create or use an account on behalf of a business (including a shop, dealer, distributor, or other organisation):

  • “You” includes both you as an individual and the business you represent.
  • You represent and warrant that you have the authority to bind that business to these Terms.
  • The business is responsible for all use of the Services under its accounts, including by employees, contractors, and other users it authorises.

2. Scope of the Services

2.1 Store purchases

Through the Store, you may be able to purchase:

  • Devices (e.g., Autom8 OBD hardware and any accessories we may offer); and
  • Digital products or services, such as licences, credits, subscriptions, and tuning- or platform-related services (collectively, “Digital Services”).

2.2 Platform functionality

Through the Dashboard and Apps, depending on your role and permissions, you may be able to:

  • Register and manage Devices and vehicles
  • Request, manage, and apply files or calibrations
  • Manage customers, vehicles, and credits (for business/dealer users)
  • View logs or other vehicle-related information
  • Interact with other features we release from time to time

We may add, modify, or remove features in our discretion.

2.3 No guarantee of compatibility

We make reasonable efforts to document supported vehicles and configurations, but we do not guarantee compatibility with every vehicle, ECU/TCU variant, or third-party modification. You are responsible for confirming compatibility for your specific use.


3. Orders, pricing, and payment

3.1 Orders and acceptance

By placing an order through the Store, you make an offer to purchase the selected products or services.

We may accept or decline an order in our discretion, for example if:

  • Payment fails or is flagged as potentially fraudulent
  • Products or services are unavailable or incorrectly listed
  • We cannot ship to your address or comply with applicable laws

A binding contract of sale is formed when we send you an order confirmation or when we dispatch/supply the relevant product or service, whichever occurs first.

3.2 Pricing and taxes

Prices are shown in the currency indicated in the Store and may include or exclude taxes depending on your location and the Store configuration.

You are responsible for any additional duties, VAT, customs charges, or other taxes and fees levied by your local authorities, unless we explicitly state otherwise at checkout.

We may change prices at any time, but such changes will not affect orders we have already accepted.

3.3 Payment processing

We use third-party payment processors (such as Shopify Payments, Stripe, or others) to process payments. By submitting payment information, you authorise us and our payment processors to charge the total amount for your order to your selected payment method.

Your use of third-party payment services may be subject to their own terms and policies.

3.4 Returns and refunds

Your rights to returns, refunds, and exchanges for purchases made directly from Autom8 are governed by our Return and Refund Policy, which forms part of these Terms.

In general, except where required by applicable law or as described in our Return and Refund Policy:

  • All sales are final and we do not offer change-of-mind returns; and
  • We will handle defective, damaged, or incorrect items as described in that policy.

Nothing in these Terms or our Return and Refund Policy limits any non-waivable consumer rights you may have under applicable law (for example, legal guarantees for defective goods or mandatory cooling-off rights for consumers in the EU/EEA and UK).


4. Licence to use the Services and Devices

4.1 Software licence

Subject to your compliance with these Terms and any applicable additional terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

  • Use the Dashboard and Apps for your own internal purposes (for consumers: personal use; for businesses/dealers: internal business use); and
  • Use the firmware and related software embedded in the Devices solely in connection with those Devices and the Services.

You must not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any part of the Services, except to the extent that applicable law permits despite this restriction;
  • Modify, adapt, translate, or create derivative works based on the Services; or
  • Resell, redistribute, or sublicense the Services or any licence, except as expressly allowed in a separate written agreement with us.

4.2 Updates

We may provide updates, patches, and new versions of the Apps, Dashboard, and Device firmware. Some updates may be installed automatically to maintain security or functionality. You agree that we may update the software without additional notice where reasonable.


5. Vehicle use, safety, and compliance

5.1 Your responsibility for vehicle use

You are solely responsible for:

  • Ensuring that any calibration, file, tune, or modification applied using the Services is safe and appropriate for your vehicle and intended use;
  • Ensuring you have the legal right and authority to access and modify the vehicle or control unit in question; and
  • Complying with all local laws and regulations regarding vehicle use, roadworthiness, emissions, and modifications.

We do not inspect or approve any third-party tunes, calibrations, or files.

5.2 No use while driving

You must not interact with the Apps, Dashboard, or Devices in a way that distracts you while driving. Only use the Services when it is safe to do so and, where required, when the vehicle is stationary.

5.3 Impact on warranties and insurance

Using the Services, particularly tuning or modification functions, may affect:

  • Vehicle manufacturer warranties or extended warranties; and
  • Vehicle insurance coverage or policy conditions.

You are responsible for understanding and accepting these risks. Autom8 is not responsible for any loss of coverage or denied claims arising from vehicle modifications you make.

5.4 Flashing and tuning risks

You understand that ECU/TCU programming, flashing, and tuning are technically complex operations that carry inherent risk. These risks can include, without limitation:

  • Loss of existing calibrations or data;
  • Vehicle no-start conditions;
  • Control unit (“ECU” / “TCU”) malfunction or “bricking”; and
  • Other drivability, reliability, or safety issues.

Many of these risks can arise from factors outside of Autom8’s control, including but not limited to:

  • Pre-existing faults or modifications on the vehicle;
  • Use of incompatible files, tunes, or third-party tools;
  • Unstable vehicle or device power supply;
  • Loss of connectivity (e.g., Bluetooth, network, or battery issues); or
  • User error or failure to follow documented procedures.

You are solely responsible for ensuring that all recommended precautions are taken before and during any flashing or tuning operation, including providing stable power, following on-screen instructions, and confirming file compatibility.

To the maximum extent permitted by law, Autom8 is not responsible for, and will not be liable for, any damage to vehicles, ECUs/TCUs, or other components arising from flashing, tuning, or programming activities performed using the Services, except to the extent such damage is directly caused by a proven defect in an Autom8 Device or the Services themselves and where such exclusion is not permitted by applicable law.


6. Acceptable use

You agree not to use the Services to:

  • Violate any applicable law or regulation;
  • Access, modify, or interact with vehicles or systems without proper authorisation;
  • Upload, transmit, or distribute malware or other malicious code;
  • Attempt to bypass or defeat any security, authentication, or access control measures;
  • Interfere with or disrupt the normal operation of the Services or related networks;
  • Harass, abuse, or harm other users;
  • Engage in fraudulent, misleading, or deceptive behaviour; or
  • Resell, sublicense, or exploit the Services in a manner not expressly permitted by us in writing.

We may monitor usage for security, abuse prevention, and operational purposes, in accordance with our Privacy Policy.


7. Intellectual property

7.1 Our intellectual property

All rights, title, and interest in and to the Services, including the Dashboard, Apps, firmware, documentation, designs, and branding, are owned by or licensed to Autom8.

Except for the limited licence granted in section 4, these Terms do not grant you any rights to our intellectual property.

7.2 User content

If you upload, submit, or transmit any content or data through the Services (for example, notes, non-confidential logs, or configuration information), you grant Autom8 a worldwide, non-exclusive, royalty-free licence to use, reproduce, and process that content solely as necessary to:

  • Operate, maintain, and improve the Services; and
  • Provide support to you and, where applicable, your associated business or dealer.

You are responsible for ensuring you have the rights needed to grant this licence and for any content you submit.

7.3 Third-party content and services

The Services may display or interoperate with third-party content, tools, or services. We do not control and are not responsible for such third-party content or services. Your use of third-party services may be subject to their own terms and conditions.


8. Data protection and privacy

Your use of the Services is also governed by our Privacy Policy, which explains:

  • What personal information we collect;
  • How we use, share, and protect it; and
  • Your rights and choices.

By using the Services, you acknowledge that personal information will be processed in accordance with our Privacy Policy, including transfers to Canada, the United States, and other jurisdictions where we or our service providers operate.


9. Suspension and termination

We may suspend or terminate your access to the Services, in whole or in part, if:

  • You materially or repeatedly breach these Terms or other applicable policies;
  • We are required to do so by law, court order, or a competent authority; or
  • We reasonably believe that your use of the Services poses a security, legal, or other significant risk to us, the Services, or others.

If we terminate your access without cause (i.e., not due to your breach), we will provide a pro-rated refund of any prepaid, unused fees for Services we choose to discontinue, where applicable and lawful.

You may stop using the Services at any time. If you wish to request closure of your account, contact admin@autom8-obd.com.

Suspension or termination will not affect any rights or obligations which, by their nature, are intended to continue (for example, payment obligations incurred before termination, or limitations of liability).


10. Disclaimers

To the maximum extent permitted by law:

  • The Services are provided on an “as is” and “as available” basis.
  • We do not warrant that the Services will be uninterrupted, error-free, secure, or compatible with every vehicle, ECU/TCU, or configuration.
  • We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, we do not warrant that any flashing, programming, or tuning operation performed using the Services will be successful or free from risk, and you assume all risk associated with such operations, subject to any non-waivable rights you may have under applicable law.

Your use of tuning, calibration, and other modification-related features is at your own risk.

Nothing in these Terms excludes or limits warranties or rights that cannot be excluded under applicable law (for example, certain consumer rights in the EU/EEA, UK, or other jurisdictions).


11. Limitation of liability

To the maximum extent permitted by law, under no circumstances will Autom8 or its directors, officers, employees, or affiliates be liable for:

  • Any indirect, incidental, consequential, special, or punitive damages;
  • Any loss of profits, revenue, data, goodwill, or business interruption; or
  • Any damage to vehicles, components, or hardware resulting from misuse, improper installation, unsafe operation, or third-party modifications.

This specifically includes, without limitation, any costs associated with diagnosing, repairing, or replacing ECUs/TCUs or other vehicle components that become inoperable or “bricked” in connection with flashing, programming, or tuning, except where we are liable under non-waivable consumer protection laws or to the extent such damage is directly caused by our wilful misconduct or gross negligence.

To the extent permitted by law, our total aggregate liability for all claims arising out of or in connection with the Services or these Terms will be limited to the greater of:

  • The total amount you paid directly to Autom8 for the specific Services giving rise to the claim in the 12 months preceding the event giving rise to the claim; or
  • CAD $200.

These limitations do not apply where prohibited by law. For consumers in certain jurisdictions, mandatory laws may give you additional rights and remedies.


12. Indemnity (for business and dealer users)

If you use the Services for business purposes or on behalf of a business (including as a dealer or reseller), you agree to indemnify and hold harmless Autom8, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services;
  • Any breach of these Terms by you or users under your account;
  • Your violation of applicable law, including vehicle, safety, and emissions regulations; or
  • Any claims made against Autom8 by your customers, where those claims arise from your actions, omissions, or representations.

13. Changes to the Services and to these Terms

We may modify the Services from time to time, including adding or removing features.

We may also update these Terms. When we do:

  • We will update the “Last updated” date at the top; and
  • Where changes are material, we will provide notification (for example, via the Dashboard/Apps, by email, or through our Store).

If you continue to use the Services after changes to the Terms take effect, you will be deemed to have accepted the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.


14. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario, and the federal laws of Canada, without regard to conflict-of-laws principles.

If you are a consumer and mandatory laws of your country of residence provide you with additional non-waivable rights or protections, those laws will apply to you to the extent required.

Subject to any mandatory local rights you may have, you agree that any disputes arising out of or relating to these Terms or the Services will be subject to the non-exclusive jurisdiction of the courts located in Ontario, Canada.
